User Terms and Conditions
These terms and conditions represent a formal agreement between MisMar, a company registered and operating under the laws of the Kingdom of Saudi Arabia, with commercial registration number 1010632221 and tax number 305002162600003, and its users. These terms govern your use of MisMar's services, an electronic system for managing service centers. The system allows customers and users to register and store their operational data to assist in managing service centers.
Any use of the services provided by the MisMar system for managing service centers constitutes acceptance of this agreement and its terms. Accordingly, you must not use the system if you do not agree to the terms and conditions in this agreement.
MisMar reserves the right to modify or change these terms and conditions without prior notice. It is your responsibility as a system user to periodically review the terms to stay updated on any changes. We also encourage you to review our privacy policy to understand how MisMar uses the information provided by system users.
Introduction and Definitions
The above introduction is considered an integral part of this agreement. Below are the key definitions used in this agreement:
- (MisMar) refers to MisMar Commercial Company and includes all forms of the company's online presence, whether an electronic application or a website.
- (User) refers to any individual or entity registered in the system to benefit from the services, including affiliates.
- (Agreement) refers to these terms and conditions, which govern the relationship between the parties.
Eligibility for Services
As a user, you acknowledge and guarantee the following:
- You have not previously had your access to the MisMar services disabled or been banned from using them.
- You are not a competitor of MisMar, nor do you offer any product competing with the services provided by MisMar.
- You have full power and authority to enter into this agreement without violating any laws or contracts.
Commitments and Guarantees
As a user, you acknowledge and guarantee that you will:
- Comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.
- Provide accurate and up-to-date information to MisMar and regularly update it.
- Review and comply with any notices sent by MisMar regarding your use of the services.
- Not sub-license, publish, transmit, distribute, or commercially exploit MisMar services without prior written permission from MisMar.
- Use the service for lawful purposes only, without sending or storing illegal materials or committing fraud.
- Not harm, harass, or annoy anyone using the service.
- Not disrupt the proper functioning of the MisMar system.
- Not attempt to damage the service in any way.
- Not copy or distribute the system or other content without obtaining written permission from MisMar.
- Maintain the security and confidentiality of your password and any other means of access to your account.
- Provide us with all evidence to prove your identity as per MisMar's discretion.
- MisMar reserves the right to refuse service or access without providing reasons.
Scope of License
MisMar grants you a non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use our services solely for personal purposes under this agreement. You must:
- Not make the services available, rent, lease, resell, distribute, or sub-license these services to any third party.
- Not remove or modify any copyright notices in the services.
- Not modify, reverse-engineer, or create derivative works based on the MisMar system.
- Not intentionally transmit or distribute the services except as specified in this agreement.
- Not grant access to the services to any person other than yourself.
- Not share your username or password or other access credentials with any third party.
Intellectual Property Rights
All intellectual property rights to these services and related materials (including any content you provide) belong to MisMar. You must not reproduce or allow anyone to reproduce the services or any trademarks without permission.
Payment
MisMar reserves the right to impose new fees for using the service. If new fees are introduced, you will be notified and allowed to continue or terminate the agreement.
MisMar may modify or update the prices from time to time. It is your responsibility to stay informed about the current prices by contacting the sales team.
You must pay for the services provided to MisMar through bank transfers to our accounts. You alone are responsible for paying all fees on time, and any amount paid is non-refundable.
Your access to the data stored in the MisMar system is tied to your active account and paid subscription. Failure to pay the due amounts will result in suspension of your access to the service and stored data.
In case of non-payment, MisMar will give you a grace period of 30 days to make the payment before suspending your access. This grace period will be invoiced by MisMar, and you must pay for it as a user.
Indemnification
By agreeing to these terms and using the service, you agree to defend and indemnify MisMar, its affiliates, and licensors from any claims, costs, damages, or expenses arising from your violation of these terms or misuse of the service.
Legal Liability
The information, recommendations, and services provided to the user through the website or the service are for general information purposes only and do not constitute advice. MisMar will make reasonable efforts to keep the website and service up-to-date but does not guarantee that the website or service will be free from errors or malware. MisMar is not responsible for any damages resulting from the use (or inability to use) the website or service, including those caused by malware or viruses.
MisMar is also not responsible for damages caused by the use (or inability to use) electronic means of communication with the website or service.
Modification of Services
MisMar reserves the right to modify, change, or discontinue its services at any time without liability. MisMar may replace the services with other similar services if discontinued.
Limitation of Liability
MisMar makes no warranties, express or implied, regarding the services. All services are provided "as is." MisMar is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the services.
Support and Maintenance
The user agrees that MisMar will perform necessary maintenance to upgrade or add new features, which may result in service downtime of up to one and a half days annually for unscheduled interruptions. If this period is exceeded, the user will be compensated by extending their subscription.
Security
You acknowledge that you are solely responsible for maintaining the confidentiality of your access credentials. You agree to notify MisMar immediately if you become aware of any unauthorized use of your account.
Third-Party Interactions
During your use of the website and service, you may encounter links to third-party websites or services. These links are outside the control of MisMar, and we are not responsible for the content or practices of these third-party websites.
Contract Termination
The contract between you and MisMar is indefinite. You may terminate the contract by closing your account at any time. MisMar reserves the right to terminate the contract at its sole discretion without prior notice.
Invalidity of Terms
The invalidity of any provision in these terms will not affect the validity of the remaining provisions. In such cases, the invalid provision will be replaced with a valid one that closely reflects the intent of the original provision.
Modification of Terms
MisMar reserves the right to modify or replace any terms in this agreement or suspend or discontinue services at any time by posting a notice on the website or sending a notification to users.
Governing Law
These terms are governed by the laws of the Kingdom of Saudi Arabia, and any disputes arising from these terms will be subject to the jurisdiction of the courts of Saudi Arabia.
